THE BUYING AND SELLING OF SHARES BY DIRECTORS

Directors must declare their shareholdings and trades in the companies that they serve. To avoid suspicion of insider trading, legal and regulatory constraints apply, and directors need to be aware of what they need to do to protect their interests. Most boards have policies that further define what is permitted as regards share dealings for directors. In this paper, the AICD provides guidelines for share trading within the requirements, and for the drawing up of board policies in respect of share trading.
