These explanatory notes were developed to assist common understanding of terms used throughout  all Australian Institute of Company Directors’ courses, especially the Company Directors Course
modules.

The statute company law is the Corporations Act and relevant state companies codes. Directors of government and not-for-profit companies (NFPs) need to be aware that there is often another layer of state and/or federal statute and/or financial reporting requirements which impose extra duties and responsibilities for directors and officers.

We use the term chairman in its Latin sense, applicable to men and women.


Many of the terms in the glossary have a legal or accounting context and are presented as such.

All definitions and information provided in this glossary are correct at time of publication.
