This Queensland Director Briefing series will focus on the legal issues, corporate finance issues from an accountant's perspective and the private equity issues which are faced by directors and owners of businesses in elation to expansion capital and exit strategies.
At the end of the presentations our three presenters will form a panel and address two separate case studies, on expansion capital and exit strategies, talking through relevant examples.
This series of seminars will be conducted at the Gold Coast, Sunshine Coast, Toowoomba, Rockhampton, Mackay, Townsville and Cairns with the support of the Queensland Government through its Venture Capital Unit and the State Development Centres.
Presentation Outline:
Legal framework in relation to expansion and exit capital
Glenn Vassallo will discuss how to identify capital injection points during the life cycle of a business, focusing particularly on expansion and exit capital strategies.
Glenn’s presentation will include an analysis of:
• What is expansion and exit capital.
• Why expand or exit your business
(including aggregation or succession issues).
• How to expand or exit your business
(including making your business attractive, choosing the appropriate legal transaction(s) and instrument(s), deciding between debt, equity or a hybrid of both).
Accountancy and tax framework as it relates to expansion and exit capital
David Jackson will discuss commercial and financial ssues to consider in capital raisings and exit decisions:
• Capital raising under a disclosure document, and raisings not requiring a disclosure document.
• Establishing the appropriate structure to support growth of the business.
• Capital structures and debt v equity classifications under AIFRS.
• Smart exits – accounting and tax implications of alternative exit strategies.
Private equity and its role in relation to expansion and exit capital
Terry Young will discuss the role of private equity, the types of investments considered by private equity and what investors look for in a deal.
Terry will also describe the investment process, the risks and the advantages of private equity.
