AICD announces changes to board following AGM

The Australian Institute of Company Directors (AICD) today announced changes to its board following its annual general meeting, held on 6 November 2008.

  • Fiona Harris, former president of AICD’s Western Australia Division Council, replaces Terry Budge as a national director, who retires following completion of his term.
  • Steven Cole joins the Board as the newly appointed president of the Western Australia Division Council.
  • Brand Hoff, the newly appointed president of the ACT Division Council, replaces Dale Budd, who retires following completion of his term.


AICD’s chairman, John Story, congratulated Ms Harris, Mr Cole and Mr Hoff on their appointments and acknowledged Mr Budge and Mr Budd for their service to AICD as Board members.

“Terry has made a significant contribution to AICD, not only as a national director, but also as a former president of the WA Division, and as a member of AICD’s Education, Reporting and Conference Committees. Dale’s guidance as ACT President has helped AICD to strengthen its public sector governance initiatives,” said Mr Story.

Ms Harris, who is also chair of AICD’s audit committee, has been a member of the WA Division Council for nine years. Her appointment as a national director enables her to continue on AICD’s board for a further term.

“Fiona has been an enthusiastic contributor at the board and has given generously of her time for the WA Division. I congratulate her on her appointment and am sure she will continue to make a valuable contribution,” Mr Story said.

John H C Colvin, AICD’s chief executive officer, was appointed managing director by resolution of the Board at its September meeting.

Chairman: John Story
National Directors: Elizabeth Bryan, Colin Galbraith, Fiona Harris
Division Council Presidents: Brand Hoff (ACT), Lyn Cox (Tas), Alan Hewitt (SA), Martin Kriewaldt (Qld), Richard Lee (NSW), Steven Cole (WA) and Linda Nicholls (Vic).

* Composition of the AICD Board
The AICD Board consists of up to twelve directors. There are four National Directors, one of whom is the chairman, and seven Division representatives. The Division representatives are nominated by each Division Council and are usually Division Presidents. The Division representatives on the Board appoint the Chairman and National Directors following each annual general meeting. In addition, the Chief Executive Officer was appointed Managing Director by resolution of the Board.
